QR Pantry Partner Agreement
This agreement is between Inception Ventures Pty Ltd, trading as QR Pantry (ABN 31 636 135 414, 81-83 Campbell Street, Surry Hills NSW 2010), called “QR Pantry”, “we” or “us”, and you, the partner. You accept it when you tick the box on the application, and it starts when we approve you.
1. Joining
You can apply if you are 18 or over and live in Australia. We approve or decline applications at our discretion, and we may ask questions first. You apply with your own QR Pantry account, and a partnership belongs to that account. It can’t be transferred.
2. Your code
- When we approve you, we give you a partner code in your name (for example, YOURNAME10). It gives the people you share it with 10% off QR Pantry Labels. It doesn’t apply to QR Pantry Pro.
- Each customer can use a partner code once, and an order can carry one code.
- A partner code can’t be used on your own orders or on orders for anyone in your QR Pantry household, and orders like that never earn commission.
- We may change your code, for example if it appears on a coupon or voucher site, and we’ll tell you when we do.
- We may also give you a link that applies your code for the person who taps it.
3. Commission
We pay commission at the rates published at qrpantry.com/partners on the day of the order. When we publish this version, they are:
- 15% on label orders from your approval, 18% once your code has brought in $500 of sales, and 20% from $1,500 of sales. Your rate changes from the start of the month after you reach the next level, and it never goes back down.
- 10% of every QR Pantry Pro payment a new subscriber makes in the first 12 months after their first payment.
Commission is worked out on what the customer actually paid for the items, after any discount and before GST, and never on shipping or fees. An order counts towards you when it carries your code. Without a code, it counts when the customer used your link in the 60 days before the order, and a QR Pantry Pro subscription counts when the customer first came to QR Pantry through you in the 12 months before it. Each order counts towards one partner at most, and a code at checkout comes before a link.
These don’t earn commission: your own orders and your household’s, free products and orders of $0, orders we make ourselves (such as gifts and replacements), sales through other stores (such as a marketplace), and QR Pantry Pro bought inside our iPhone app through Apple, until we tell you otherwise.
4. When you are paid
- Commission on a label order becomes payable 30 days after the order ships. Commission on a QR Pantry Pro payment becomes payable 30 days after the payment.
- If an order is refunded, cancelled or charged back before its commission is paid, the commission is removed. If that happens after it is paid, the amount comes off your next payout.
- We pay by the 15th of each month for everything payable by the end of the month before, once you are owed $30 or more. Smaller amounts carry over.
- We pay by PayPal or by bank transfer to your PayID, in Australian dollars. You agree to receive payouts that way when you give us your details, and it’s up to you to keep them correct. A PayPal payout that isn’t claimed comes back to us after 30 days, and we’ll pay it again once your details are right.
- We may hold a payment while we check an order that looks unusual, and we’ll tell you why.
5. Tax and GST
You are an independent contractor, not an employee, agent or representative of QR Pantry, and you are responsible for your own tax. Gifts and QR Pantry Pro we give you may count as income for you.
Before we pay you, we need your ABN, which we check with the Australian Business Register, or, if sharing QR Pantry is a hobby for you rather than a business, a signed Statement by a supplier from the Australian Taxation Office. Without one, the law may require us to withhold 47% from a payment, so we won’t pay until we have it. Your commission keeps adding up in the meantime.
If you are registered for GST, we add GST to your commission. For those payments we issue a recipient-created tax invoice, and you agree that:
- we will issue a recipient-created tax invoice for each payment for your services under this agreement;
- you will not issue a tax invoice for those services;
- you are registered for GST and will tell us straight away if that changes, and we are registered for GST and will tell you if that changes.
6. Gifts and QR Pantry Pro
When we approve you, we may send you a free Starter Pack, and we may give you QR Pantry Pro while your code keeps making sales. These are perks we can change or stop at any time. What we send you is yours to keep.
7. Saying it’s an ad
The law requires every post that features QR Pantry to say clearly that you have a commercial relationship with us. That includes posts about a gift. Put #ad, “Advertising” or the platform’s paid partnership label where people see it straight away, without opening the caption. A label only in your bio or at the end of a caption isn’t enough, and neither are #gifted, #sp, #collab or “affiliate” on their own. We will never ask you to hide it. We may ask you to fix a post, and we may withhold commission linked to a post that isn’t fixed.
8. What you say about QR Pantry
Describe QR Pantry accurately, and only make claims we have published or agreed with you. QR Pantry Pro’s AI suggests names, dates and recipes for the person to check and save, so please don’t describe it as automatic. Don’t make health or medical claims, and don’t make claims about other businesses.
9. What isn’t allowed
- Using your code or link on your own orders or your household’s
- Posting your code on coupon, voucher or deal sites
- Bidding on “QR Pantry” or similar terms in search ads
- Running paid ads that use our name or your code without our written permission
- Sending emails or messages to people who haven’t agreed to hear from you
- Bots, paid clicks, fake orders or anything else that makes sales look like they came from you when they didn’t
- Names, handles or websites that could be mistaken for QR Pantry’s own
If you break these rules, we may withhold the commission connected with it and end this agreement straight away.
10. Our brand and your content
We give you permission to use the QR Pantry name, logo and product images to promote QR Pantry under this agreement, and for nothing else. You give us permission to share your public posts about QR Pantry, with credit to you, including in our own marketing. Either of us can ask for a post to come down, and the other will act on it promptly.
11. Privacy
We handle your details under our privacy policy. We share your payout details only with the service that makes the payment. You never receive the details of the people who buy with your code.
12. Ending
Either of us can end this agreement at any time by email. When it ends, your code stops working, and we pay any balance of $10 or more in the next payout, less anything owed back under section 4. Sections 5, 7, 8, 10, 11 and 14 continue after it ends. We may change or close the program for everyone with 30 days’ notice by email.
13. Changes to this agreement
We may update this agreement. We’ll email you at least 14 days before a change takes effect, and a change never applies to orders placed before it. If you keep taking part after that, you accept the change.
14. Liability and the law
Nothing in this agreement takes away rights you have under the Australian Consumer Law. As far as the law allows, each of us is responsible to the other only up to the amounts payable under this agreement, and neither of us is responsible for indirect loss. The laws of New South Wales apply. This is the whole agreement between us about the program, and it replaces any earlier version. If a part of it can’t be enforced, the rest still applies.
